Terms of Service

3.1 Payment Structure: All custom projects require an initial deposit of 50% before work commences. The remaining 50% is due upon project completion and before final delivery.

3.2 Template Purchases: Template purchases require full payment upfront and are non-refundable once downloaded.

3.3 Payment Methods: We accept payments via bank transfer, mobile banking (bKash, Nagad, Rocket), and credit/debit cards.

3.4 Currency: All prices are quoted in Bangladeshi Taka (BDT) unless otherwise specified.

3.5 Late Payments: Invoices not paid within 7 days of the due date will incur a late fee of 2% per week.

3.6 Taxes: All quoted prices are exclusive of applicable taxes unless explicitly stated otherwise.

4.1 Client-Initiated Cancellation: If you cancel a project after work has commenced, you are obligated to pay for all work completed up to the cancellation date. This includes:

• Design mockups and wireframes created
• Development hours invested
• Research and planning time
• Third-party services purchased on your behalf
• Any domain, hosting, or license fees already paid

4.2 Minimum Cancellation Fee: Regardless of project stage, cancellation will incur a minimum fee of 30% of the total project cost plus any non-recoverable expenses.

4.3 Refund Timeline: The initial deposit is non-refundable once work begins. Any refunds due (if applicable) will be processed within 15-30 business days.

4.4 Work Product: Upon cancellation, you will receive all completed work in its current state. Partially completed features or incomplete code will be provided "as-is."

4.5 Company-Initiated Cancellation: We reserve the right to cancel or refuse service at any time. In such cases, we will refund any unused portion of your payment.

5.1 Estimated Timelines: All project timelines are estimates and may be subject to change based on project complexity, client feedback turnaround, and unforeseen circumstances.

5.2 Client Responsibilities: Timely delivery depends on your prompt provision of required materials, feedback, and approvals. Delays in client response will extend the project timeline accordingly.

5.3 Rush Orders: Expedited delivery may be available for an additional fee of 25-50% of the project cost, subject to our availability.

6.1 Included Revisions: Each project package includes a specified number of revision rounds (typically 2-3 rounds).

6.2 Additional Revisions: Revisions beyond the included number will be charged at our hourly rate or as agreed upon separately.

6.3 Scope Changes: Major changes to project scope, features, or requirements after project commencement will be treated as a new project phase and billed separately.

6.4 Approval: Your approval of design mockups and development milestones indicates satisfaction with that phase. Subsequent requests to redo approved work will incur additional charges.

7.1 Client Ownership: Upon full payment, you own the final delivered website/application and its custom code.

7.2 Third-Party Components: Some projects may incorporate third-party libraries, frameworks, plugins, or templates that have their own licenses. You must comply with these licenses.

7.3 Portfolio Rights: We retain the right to showcase your project in our portfolio, case studies, and marketing materials unless you specifically request confidentiality in writing.

7.4 Pre-existing Materials: Any pre-existing materials, frameworks, or code developed by DevStation IT before your project remains our property but is licensed to you for use in your project.

7.5 Client-Provided Materials: You represent that you own or have the right to use any materials (text, images, logos, etc.) you provide to us.

8.1 Bug-Free Guarantee: We guarantee that delivered websites will be free from critical bugs for 30 days after launch (or 90 days with premium packages).

8.2 Browser Compatibility: Websites will be tested and compatible with the latest versions of major browsers (Chrome, Firefox, Safari, Edge).

8.3 No Warranty on Third-Party Services: We do not warrant the performance of third-party services, plugins, APIs, or hosting providers.

8.4 Disclaimer: Except as expressly stated herein, our services are provided "as is" without any warranties of any kind, either express or implied.

9.1 Post-Launch Support: Basic support (bug fixes for critical issues) is provided free for 30 days after launch.

9.2 Maintenance Plans: Ongoing maintenance, updates, and support are available through monthly or annual maintenance plans.

9.3 Response Time: Support tickets are typically answered within 24-48 business hours. Emergency support may be available at additional cost.

9.4 Training: Basic training on using your website/CMS is included. Extended training sessions can be arranged at our hourly rate.

10.1 Maximum Liability: Our total liability for any claims arising from our services shall not exceed the total amount you paid for the specific project in question.

10.2 Excluded Damages: We shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.

10.3 Third-Party Actions: We are not responsible for damages caused by hosting providers, third-party services, hacking, or force majeure events.

10.4 Client Content: You are solely responsible for the content you provide or publish on your website. We are not liable for any legal issues arising from your content.

11.1 Non-Disclosure: We will keep your confidential business information private and will not disclose it to third parties without your consent.

11.2 NDA Requests: If your project requires additional confidentiality protections, we can sign a separate Non-Disclosure Agreement.

11.3 Public Information: This obligation does not apply to information that is publicly available or was already known to us.

12.1 By Client: You may terminate the agreement at any time subject to the cancellation policy in Section 4.

12.2 By DevStation IT: We may terminate if you breach these Terms, fail to make payments, or engage in abusive behavior toward our staff.

12.3 Effect of Termination: Upon termination, you must pay for all work completed. We will provide all work-in-progress files.

13.1 Good Faith Negotiation: Any disputes will first be addressed through good faith negotiations between both parties.

13.2 Mediation: If negotiations fail, we agree to attempt mediation before pursuing legal action.

13.3 Jurisdiction: These Terms shall be governed by the laws of Bangladesh. Any legal proceedings shall be conducted in the courts of Dhaka, Bangladesh.

14.1 Entire Agreement: These Terms constitute the entire agreement between you and DevStation IT regarding our services.

14.2 Modifications: We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date.

14.3 Severability: If any provision is found unenforceable, the remaining provisions will continue in full effect.

14.4 No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.5 Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to any successor or affiliate.
